صادق مجلس الحكومة، اليوم الخميس، على مشروع المرسوم رقم 2.25.1080 بتغيير وتتميم المرسوم رقم 2.09.481 الصادر في 4 محرم 1431 (21 ديسمبر 2009) بتطبيق القانون رقم 17.95 المتعلق بشركات المساهمة، قدمه وزير الصناعة والتجارة.
وأوضح الوزير المنتدب المكلف بالعلاقات مع البرلمان، الناطق الرسمي باسم الحكومة، مصطفى بايتاس، خلال لقاء صحفي عقب الاجتماع الأسبوعي للمجلس، أن مشروع هذا المرسوم يهدف إلى تغيير وتتميم أحكام البند 2 من المادة 4 من المرسوم رقم 2.09.481 السالف الذكر، وذلك بإدراج شروط تحديد سعر الإصدار المتعلق بعمليات الزيادة في رأس المال، إلى جانب سعر الإصدار ومبلغه، ضمن لائحة المعلومات الدنيا التي يتعين أن يتضمنها التقرير الخاص لمراقب الحسابات.
وأضاف أن أثر هذا التعديل يمتد إلى البند 3 من المادة 4 من نفس المرسوم، الذي ينص على أن يبدي مراقب الحسابات رأيه أيضا بشأن سلامة ومصداقية الأسس المعتمدة في احتساب كل من سعر الإصدار أو الفارق أو شروط تحديد هذا السعر، التي اعتمدها مجلس الإدارة أو مجلس الإدارة الجماعية.
